DUTIES OF DMCFinder:
DMCFinder.co.uk will carry out the customary duties of a sales representative. This includes, but is not limited to, solicitation of new clients and conducting marketing/promotional efforts in accordance with guidelines established by the Partner. DMCFinder.co.uk is responsible for reproduction and distribution of all marketing and sales materials used to solicit the Company’s products and services. The Partner shall provide any required Content and Information for DMCFinder.co.uk to use on the DMCFinder website www.DMCFinder.co.uk and agrees to its use and licence for distribution and promotional activity by DMCFinder.co.uk. All administrative and back-office functions, including billing, shall be the sole responsibility of the Partner. DMCFinder.co.uk may be requested to assist in communication only, in remedying a situation which has caused a client account to become delinquent.
The Partner will pay DMCFinder.co.uk who is verified to be the procuring cause of a sale, a monthly subscription as per agreement for the listing.
DURATION OF AGREEMENT; TERMINATION: Partner may terminate the Agreement by providing 30-days written notification to the other party. The Partner and DMCFinder.co.uk reserves the right to immediately terminate this agreement if the either party misrepresents the other party, product or its capabilities, or otherwise violates established policies.
USE OF SOFTWARE AND MARKETING MATERIALS:
The Partner will provide access to its content, logos, promotional materials and other sales tools for use by DMCFinder.co.uk in marketing and selling the Partner’s products and services. DMCFinder.co.uk may copy and customise all marketing materials in any manner of choosing, without the prior approval of the Partner, so long as the general quality and integrity of any materials provided to the end-customer is maintained. The Partner may use the DMC Finder logo in any/all marketing materials intended to promote sales of DMCFinder.co.uk Services. The Partner acknowledges that the DMCFinder logo is a trademark of DMCFinder.co.uk. DMCFinder.co.uk may not vary the Partner’s materials by changing fonts, colour, composition, or wording in any way which might jeopardise the Partner’s trademark rights.
Both DMCFinder.co.uk and The Partner recognises and acknowledges that information that is furnished concerning the either parties’ services, customers, supplier relationships and other confidential matters constitutes a valuable and unique trade asset. Accordingly, either party will not, during or after the term of this Agreement, disclose any such information or any part thereof to any person, firm, corporation, association or other entity for any reason or purpose whatsoever without the written permission.
BINDING EFFECT AND GOVERNING LAW:
This Agreement shall be binding upon the parties hereto and shall be governed, interpreted and construed by, through and under the laws of the United Kingdom.
